MODEL RELEASE AGREEMENT

This Agreement is made on [Date] between:

Photographer: [Full Legal Name of Photographer] ("the Photographer")

and

Model: [Full Legal Name of Model] ("the Model").

1. Purpose of the Agreement

The Photographer and the Model enter into this Agreement in connection with a paid photoshoot taking place on [Shoot Date] at an indoor location in London, England, arranged by the Model.

The photoshoot may include fashion, glamour, portrait, art nude and related photographic work.

2. Copyright and Ownership

  1. The Photographer shall be the sole owner of the copyright and all associated intellectual property rights in all photographic images and derivative works created during the photoshoot ("the Images").

  2. The Photographer shall retain these rights worldwide and in perpetuity.

  3. Except as expressly provided in this Agreement, the Model acquires no ownership interest in the copyright or other intellectual property rights in the Images.

3. Licence Granted to the Model

  1. The Photographer grants the Model a perpetual, worldwide, non-exclusive licence to use the Images for personal, promotional, portfolio, artistic and commercial purposes.

  2. The Model may reproduce, publish, edit, crop, distribute and otherwise use the Images without further permission from the Photographer.

  3. The Model may not represent herself as the copyright owner of the Images or assign copyright ownership to any third party.

4. Permitted Uses by the Photographer

  1. The Photographer may publish, display, reproduce, distribute, license and monetise the Images for artistic, promotional, editorial and commercial purposes.

  2. The Photographer may publish or otherwise make the Images available through any website, online platform, subscription service, social media platform, photography or modelling network, online gallery, portfolio, print publication, exhibition, or any comparable medium, whether existing now or developed in the future.

  3. The Photographer may make the Images available free of charge or in exchange for payment, including through subscription services, paywalled galleries, paid downloads, licensing arrangements or other commercial distribution methods.

  4. Nothing in this Agreement restricts the Photographer's choice of publication platform, distribution method, commercial model or future medium of publication.

  5. The Photographer may crop, retouch, colour-grade, composite, restore, enhance or otherwise edit the Images using conventional or AI-assisted editing tools, provided that the resulting Images do not materially misrepresent the Model's identity, appearance or actions.

  6. The Photographer may use the Images as source material or reference material in the creation of new works using artificial intelligence or other generative technologies, provided that the resulting work does not depict a person who is recognisable as the Model.

  7. A work shall not be regarded as depicting the Model if a reasonable observer would not recognise the person shown as being the Model.

  8. Notwithstanding the rights granted in this Section, the Model retains the rights set out in Section 5 regarding the removal of publicly accessible Images.

5. Removal of Publicly Accessible Images

  1. The Photographer may publish Images on publicly accessible platforms without obtaining the Model's prior approval.

  2. If, at any time in the future, the Model requests that one or more publicly accessible Images be removed from public view, the Photographer agrees to remove those Images within fourteen days of receiving the request.

  3. "Publicly accessible Images" means Images that are available without payment or subscription.

  4. This undertaking does not apply to Images published exclusively behind a paywall or subscription service.

  5. This Section does not affect the Photographer's ownership of the copyright or any other intellectual property rights in the Images.

6. Delivery of Image Files

  1. The Photographer shall provide the Model with the unedited Images from the photoshoot as high-resolution JPEG files or RAW files, where appropriate.

  2. Delivery shall take place within a reasonable period following the photoshoot by digital transfer or another agreed method.

7. Compensation

The Model acknowledges receipt of, or entitlement to, the agreed financial compensation for participation in the photoshoot. Such payment constitutes full consideration under this Agreement.

8. Release

The Model releases the Photographer from claims arising from the creation and permitted use of the Images in accordance with this Agreement.

9. Protection Against False Endorsement and Misrepresentation

  1. The Photographer shall not knowingly use the Images in a manner that falsely implies that the Model endorses or is affiliated with any person, organisation, business, product, service, political party, political campaign, religious organisation, charitable cause or social movement without the Model's consent.

  2. The Photographer shall not knowingly create or publish AI-generated or otherwise manipulated Images in which the Model remains recognisable if those Images materially misrepresent the Model's appearance, conduct, beliefs or actions.

10. Representations

The Model represents that she is at least eighteen years of age and has full legal capacity to enter into this Agreement.

11. Governing Law

This Agreement shall be governed by the laws of England and Wales, and any dispute arising under it shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all previous discussions or verbal agreements concerning the Images.
